IMPORTANT NOTICE:  These Terms of Use govern your access to and use of the DocSync public-facing website only. They do not govern the DocSync application, platform, or any services provided to registered healthcare practitioners. Use of the DocSync platform is subject to a separate Subscription Agreement.

  1. Introduction

Welcome to DocSync. DocSync is a cloud-based Electronic Medical Records (EMR) and practice management platform designed specifically for medical practitioners in Sri Lanka. Our platform enables doctors and healthcare providers to manage private practices, patient records, clinical documentation, appointments, finances, and reporting in a secure, compliant digital environment.

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and DocSync (“DocSync”, “we”, “us”, or “our”) governing your access to and use of our public-facing website located at [www.docsync.lk] (the “Website”). By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue your use of the Website.

  1. Eligibility

The Website is intended for use by:

  • Licensed medical practitioners and healthcare professionals considering or using DocSync
  • Practice managers and administrative staff of registered medical practices
  • Members of the general public seeking general information about DocSync’s products and services

By using the Website, you represent that you are at least 18 years of age and possess the legal capacity to enter into these Terms. If you are accessing the Website on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3.1  Permitted Use

You may use the Website solely for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Browsing information about DocSync’s products, features, and pricing
  • Submitting enquiries or requests for demonstrations of the DocSync platform
  • Downloading publicly available resources such as brochures or case studies
  • Contacting our support or sales team via the contact forms provided

3.2  Prohibited Use

You must not use the Website to:

  • Violate any applicable law or regulation, including those governing healthcare, data protection, and electronic communications in Sri Lanka
  • Transmit any unsolicited or unauthorised advertising, promotional material, or spam
  • Attempt to gain unauthorised access to any portion of the Website or its related systems
  • Introduce malicious code, viruses, trojans, or any material that is harmful or disruptive
  • Scrape, harvest, or collect data from the Website by automated means without our express written consent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Website in any manner that could damage, overburden, or impair its functionality
  • Post, upload, or transmit any content that is defamatory, obscene, offensive, or otherwise objectionable
  1. Intellectual Property Rights

All content, materials, and elements on the Website, including but not limited to text, graphics, logos, icons, images, software, and the overall design and compilation thereof (collectively, the “Content”), are the exclusive property of DocSync or our licensors and are protected by the intellectual property laws of Sri Lanka and applicable international treaties.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Content solely for your personal, non-commercial use in connection with evaluating or learning about DocSync’s offerings. This licence does not permit you to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the Content without our prior written consent, except as follows:

  • Your computer may temporarily store copies in RAM incidental to accessing and viewing Content
  • You may store files automatically cached by your browser for display enhancement purposes
  • You may print one copy of a reasonable number of pages for personal, non-commercial use

The DocSync name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DocSync. You must not use such marks without our prior written permission.

IMPORTANT:  The Website provides general information about DocSync’s EMR and practice management platform. The Website does NOT provide medical advice, diagnosis, treatment recommendations, or clinical guidance of any kind.

Information published on the Website is intended solely to describe the features and capabilities of the DocSync platform for the benefit of healthcare practitioners evaluating practice management solutions. Nothing on this Website constitutes or should be construed as:

  • Medical or clinical advice to patients or the general public
  • A substitute for the professional judgement of a qualified healthcare practitioner
  • An endorsement or recommendation of any particular medical treatment, medication, or clinical procedure

Patients seeking medical advice should consult a qualified and registered healthcare practitioner. DocSync assumes no liability for any actions taken or not taken based on information presented on the Website.

  1. Data Protection & Privacy

Any personal information you provide through the Website, such as your name, contact details, or professional information submitted via enquiry forms, is collected and processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

DocSync is committed to protecting the privacy of healthcare professionals and their patients. Where the Website involves any processing of personal data, such processing is carried out in compliance with applicable Sri Lankan data protection and privacy laws, including the Personal Data Protection Act No. 9 of 2022.

The Website does not process patient health records. Patient health information is exclusively managed within the DocSync platform, which is governed by a separate agreement that includes HIPAA-aligned safeguards and appropriate technical and organisational security measures.

  1. Third-Party Links & Content

The Website may contain links to third-party websites, resources, or services for your convenience and information. These links are provided for informational purposes only. DocSync does not endorse and has no control over the content, privacy policies, or practices of any third-party websites.

We have no responsibility for the content or availability of third-party sites and accept no liability arising from your use of or reliance on any linked third-party content. You access third-party websites entirely at your own risk and subject to their own terms and conditions.

  1. Disclaimers of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, DOCSYNC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, DocSync does not warrant or represent that:

  • The Website will be uninterrupted, timely, secure, or error-free
  • The information provided on the Website is accurate, complete, reliable, or current
  • Any defects or errors in the Website will be corrected
  • The Website or its servers are free of viruses or other harmful components
  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SRI LANKA, DOCSYNC, ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE OR ANY CONTENT THEREON.

DocSync’s total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed Sri Lankan Rupees Ten Thousand (LKR 10,000). This limitation applies regardless of the legal theory under which such liability is asserted, and even if DocSync has been advised of the possibility of such damages.

Nothing in these Terms shall limit or exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

  1. Indemnification

You agree to indemnify, defend, and hold harmless DocSync and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Website or its Content in a manner not expressly permitted by these Terms
  • Your infringement of any intellectual property or other rights of any third party
  • Any content or information you submit to or through the Website
  1. Website Availability & Modifications

DocSync reserves the right at any time, and without notice, to modify, suspend, or discontinue the Website or any portion thereof. We may also restrict access to some parts or all of the Website to certain users at our discretion.

We undertake reasonable efforts to maintain Website availability but do not guarantee that the Website will be available at all times. Scheduled maintenance, unforeseen technical issues, or circumstances beyond our reasonable control may cause temporary unavailability.

  1. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days of written notice, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration Act No. 11 of 1995 of Sri Lanka. The seat of arbitration shall be Colombo, Sri Lanka, and proceedings shall be conducted in English.

Notwithstanding the foregoing, DocSync reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.

  1. Changes to These Terms

We reserve the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon being posted to the Website. The “Effective Date” at the top of these Terms will be updated to reflect the date of the most recent revision.

Your continued use of the Website following the posting of revised Terms signifies your acceptance of those changes. We encourage you to review these Terms periodically to stay informed of any updates.

  1. Severability & Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from the Terms. The remaining provisions shall continue in full force and effect.

No waiver by DocSync of any term or condition set out in these Terms shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by DocSync to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

  1. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Website, constitute the entire agreement between you and DocSync with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
